WRAP INFORMATION

Here is an outline of the Wrap process, as well as payment and liability terms - 1 Up Graphics Inc. is referred to as the INSTALLER.

PRICING & PAYMENT

1.    The INSTALLER will generate and email a quote for the WRAP to the CUSTOMER once the following information is received:

a.    The CUSTOMER’S contact information and any Permits or Tax Documents for Resale Customers

b.    The VEHICLE’S  year, make & model

c.     The current condition of the VEHICLE

                                          i.    Any  required removal of existing graphics

1.     For removal services, the INSTALLER must see pictures or survey the existing graphics before providing a quote. This applies to graphics originally produced and/or installed by other graphic providers, as well as graphics produced and installed by the INSTALLER.

2.     While the INSTALLER conducts the removal process with utmost care, and with full intention to remove all adhesive residue, the CUSTOMER should be aware that in certain cases, there may be discoloration in the VEHICLE paint, and not all adhesive residue may be removed.

3. Due to elements beyond the INSTALLER'S control, VEHICLE paint may come off during the removal process. It is an industry accepted standard, that factory paint, as well as after market paint, is compromised if any adhesive-backed graphics have been applied. 1 Up Graphics Inc is not responsible nor liable to repair, repaint, or reimburse the CUSTOMER for costs associated with paint damage incurred during the removal process.

d.    The areas of the VEHICLE to be wrapped (i.e. full wrap, partial wrap, whether or not the roof is included, etc.)

e.    CUSTOMER’S ideas for the graphic design

                                          i.    Any  required PMS Color Matching

                                         ii.    Any CUSTOMER supplied artwork files

2.       The CUSTOMER must approve the WRAP quote and remit any down-payment/artwork deposit required before the INSTALLER will begin any pre-production or artwork.

3.       The CUSTOMER must be aware that the WRAP price quoted or invoiced may change subject to the following situations (the CUSTOMER will be notified    immediately by the INSTALLER of any changes in the price quoted or invoice):

a.    The areas to be WRAPPED on the VEHICLE change (i.e. adding/removing areas)

b.    Artwork time and artwork changes to the WRAP design

c.     Any Edge Seal added to Perforated Vinyl Window Graphics

d.    Any necessary PMS Color Matching

4.       When the INSTALLER’S services conclude and the VEHICLE is picked-up by the CUSTOMER, all unpaid charges will become immediately due and payable unless specifically arranged otherwise, in writing. The CUSTOMER must remit the remaining balance due for the WRAP upon the day the installation is completed. The VEHICLE will not be released to the CUSTOMER until the total balance for the WRAP is paid to the INSTALLER.

5.       Credit card transactions may be subject to a 3.5% processing fee, which will be listed on the invoice.

6.       Any unpaid balance shall bear interest at the rate of 18 percent (18%) per annum and a one-time late payment charge of $150.00. If legal action becomes necessary to collect on any balance due and owing to the INSTALLER, the prevailing party shall be entitled to reasonable attorney's fees plus actual costs incurred.

7.       Collection charges for CUSTOMER’S Default on Account: In the event the CUSTOMER defaults on the payment of any INSTALLER’S fees or costs due and owing on the account to the INSTALLER, the INSTALLER may commence a collection process against the CUSTOMER to recover the outstanding  balance. The CUSTOMER shall be liable to pay all of the INSTALLER’S costs associated with collecting the unpaid balance including, but not limited to, collection service fees, process service fees, attorney's fees, court costs, costs for wage garnishment, marshal fees, recorder's fees, and all other costs associated with the collection process.

8.       Non-Disparagement. During the pre-production, installation and thereafter, the CUSTOMER agrees to take no action which is intended, or would reasonably be expected, to harm the INSTALLER, or its or their reputation or which would reasonably be expected to lead to unwanted or unfavorable publicity to the Company.  A $3,500 Fine will be cited if this agreement is broken and any legal fees if needed to collect

a.    For purposes of this Section, “disparage” shall mean any negative statements, reviews, comments, or feedback, whether written or oral, about the INSTALLER. This will include all written or electronic communication, whether email, text message, social media, Yelp, LinkedIn, etc.

PRE-PRODUCTION INFORMATION

1.    The VEHICLE must be measured to insure that graphics are designed properly to fit the VEHICLE before any graphics are produced. The INSTALLER may measure the VEHICLE on-site, at the CUSTOMER’S location, for a charge of $75.00 per site (not limited to quantity of vehicles). When the CUSTOMER places the order with the INSTALLER, the charges that were applied for this vehicle measurement will be credited back on the invoice. The $75.00 fee does not apply if the CUSTOMER brings the VEHICLE to the INSTALLER’S facility to be measured. If the vehicle is not available for the INSTALLER to measure the INSTALLER cannot guarantee the WRAP to fit properly and will not be held liable for said WRAP.

2.    The VEHICLE must be cleaned/washed before the INSTALLER accepts it for installation. If the VEHICLE is not delivered clean the INSTALLER will charge washing fees per vehicle of $75.00 for all passenger vehicles, $100.00 for Commercial Trucks/Vans and $300.00 for Trailers. The INSTALLER wipes down the VEHICLE with a certified cleaning agent.

3.    All graphics should be removed prior to installation (the INSTALLER charges for removal of old graphics, call for pricing). If the graphics cannot be removed cost effectively, the INSTALLER will remove all parts of the existing graphic that is not cleanly mounted/installed on the VEHICLE.

a.    Vinyl graphics are removed from a wall or vehicle with a heat process to soften up the material. In some cases, the vinyl removes paint from the wall or vehicle because the paint was not properly applied to the surface. The INSTALLER is not responsible, nor liable to pay for any damage to the wall or vehicle due to the removal process. If the surface to be wrapped is damaged, the surface must be repainted before new graphics can be applied.

4.    All vehicles must have a proper paint finish (automotive grade paint, NOT PRIMER). All paint must be clean, without rust or corrosion. If the VEHICLE’S finish (body and paint) is not in good condition, the WRAP will not be warranted by the vinyl manufacturer or the INSTALLER.

a.    INSTALLER is not responsible for condition of the VEHICLE’S finish (body and paint) after the WRAP is removed, whether by the INSTALLER, CUSTOMER or third party, including but not limited to peeling paint, burnt paint scratches, etc.

5.    The INSTALLER reserves the right to refuse to install the WRAP on any surface they do not feel meets with standards and could in effect void a warranty by the vinyl manufacturer or the INSTALLER. In the event the INSTALLER cannot complete the WRAP due to the surface not being prepared properly, the customer will be charged for 50% of the invoice total or $300.00 (which ever the higher amount).

6.    All extra ‘options’ on the VEHICLE that inhibit the installation of the WRAP will be removed by the INSTALLER. Examples are: RV awning, ladders, special lights, speakers, roof racks, etc. In some cases, the INSTALLER will also remove other parts on the VEHICLE. Examples are: Headlights, Tail Lights, Fins, Antennas, Door Handles, Plastic Parts, Rubber, etc. The INSTALLER is not responsible nor liable to fix or replace any damage caused due to the removal or re-installation of these items.

7.    After the WRAP is complete, the CUSTOMER must pick up the VEHICLE within the same business day unless prior arrangements have been made.

a.    If the VEHICLE is not picked-up by the CUSTOMER within the business day as stated in item i above, a $65.00 storage charge will be applied to each day after the day the WRAP was completed.

8.    Normal production turn-around for the WRAP is as follows:

a.    Artwork for the WRAP’S general graphic design:                          3-5 Business Days

b.    CUSTOMER requested changes to the general graphic design:        1 Business Day

c.     PMS Color Matching (4 colors max):                                                  1 Business Day

d.    Printing & Lamination of the WRAP:                                                     1 Business Day

e.    Actual Installation of the WRAP on the VEHICLE:                               1-3 Business Days

VINYL MATERIAL PERFORMANCE

 1.       The CUSTOMER should expect that the WRAP could have small wrinkles, bubbles and minor imperfections. Areas with large curved surfaces (bumpers, fenders, etc.) may cause the WRAP graphics to appear stretched or, in the case of solid colors, the white base of the vinyl material will show through, causing the area to appear a lighter color. The CUSTOMER needs to understand that this is not paint. If The CUSTOMER expects a perfect vehicle graphic that is flawless, then an airbrush paint job is the best way to proceed. Airbrush paint jobs are considered “permanent” graphics and thus are 4 to 10 times the price of vinyl graphics. This is not a service that the INSTALLER offers.

2.       The vinyl manufacturer only covers under warranty a WRAP that was properly installed according to their specifications: The vinyl must not have been stretched more than ½”per foot. This means that the vinyl manufacturers will not warranty the WRAP on the VEHICLE if it has contours that extend beyond 1/4”. All compound curves on the following vehicles do not qualify for a warranty when wrapped: VW Bug, Hummer, most passenger and small vehicles.

3.       The INSTALLER will not apply the WRAP on rubber parts and plastic parts of the VEHICLE (around windows, doors, etc.). The vinyl manufacturer nor the INSTALLER will warranty these areas of the VEHICLE. All surfaces that are not flat are subject to a lesser warranty due to the fact that all materials are warranted based on a flat surface.

4.       The INSTALLER only applies 1/4”edge-seal to the VEHICLE around perforated vinyl window graphics to prevent the window graphics from lifting per the CUSTOMER’S request at an additional charge of $45.00 per hour. All glass surfaces covered with perforated vinyl window graphics carry a 6 month to one-year warranty.

5.       The WRAP will not be installed on cylindrical items on the VEHICLE (pipe assemblies like roll bars, brush guards, etc.) The law prohibits the INSTALLER from applying the WRAP to the front windshield, driver’s window or passenger’s front window.

6.       Even though the INSTALLER uses a felt squeegee when installing the WRAP to prevent scratching the over-laminate film, it is still possible to end up with small scratches in the over-laminate. These fine scratches do not affect the film or warranty. Along with the squeegee, the INSTALLER uses sharp blades to cut the WRAP on the VEHICLE in all areas where there is body-panels seam or areas where the WRAP could lift due to hard-lines in the body or connection points. The knife can cause small lines in the paint finish of the VEHICLE and when the WRAP is removed the lines can be seen. This is accepted as an industry standard and needs to be understood by the CUSTOMER. The INSTALLER and the manufacturers of the vinyl (3M, Arlon, etc.) do not cover this damage under any warranty.

7.       If the VEHICLE has protruding elements or deep indents in the body, the INSTALLER may need to cut the vinyl and cover only the areas that are viewed from a straight-on view of the VEHICLE, since the INSTALLER cannot stretch the vinyl more than 1/4”. Areas around door handles, mirrors, door locks, wiper motors, antenna, roof rack, etc. are very difficult to make look perfect, and it is very common to cut the vinyl around these areas.

8.       When graphics must be paneled, the VINYL will have a seam. The CUSTOMER should expect that the seamed panels of VINYL will not line-up perfectly – while the INSTALLER is most often accurate at lining up the panels, the VINYL may be misaligned up to 1/4”; this is an industry accepted standard. The INSTALLER is not liable, responsible or obligated to replace the installed VINYL due to seamed panels installed with misalignment up to 1/4”.

MATERIAL WARRANTY INFORMATION

The WRAP (in most cases) lasts much longer than both the INSTALLER and the Manufacturer’s Warranty, however, as a result of the improper care given by customers to most vehicle graphics, both warranties are limited.

 1.    INSTALLER’S LIMITED WARANTY – Covers WRAP failure within 365 days from the installation completion date. Please see “Schedule A” (attached) for proper WRAP care instructions.

a.    Wheel/Rim WRAPS are not covered under warranty

b.    Parts of the WRAP applied to areas on the VEHICLE where its original finish (body and paint) is not in good condition (as described in VINYL MATERIAL PERFORMANCE, #3).

c.     Parts of the WRAP applied to rubber parts and plastic parts on the VEHICLE (as described in PRE-PRODUCTION INFORMATION, #4).

d.    WRAPS  on Diamond Plate and similar surfaces are not covered under warranty

e.    Squeegie Scratches (as described in VINYL MATERIAL PERFORMANCE, #6) from installation process in the WRAP’S over-laminate are not covered under warranty but do not affect the warranty’s validity

f.     Knife scratches (as described in VINYL MATERIAL PERFORMANCE, #6) from in installation process in the VEHICLE’S paint are not covered under warranty but do not affect the warranty’s validity

g.    Damage/weathering on the WRAP due to improper care is not covered under warranty. Please see “Schedule A” (attached) for proper WRAP care instructions.

2. MANUFACTURER’S LIMITED WARANTY- Does not determine the time at which the WRAP will fail but gives the CUSTOMER an idea of the time period before the WRAP will begin to show signs of failure.

ARTWORK & COLOR PERFORMANCE

1.       Artwork for the WRAP is set-up in two (2) different stages:           

a.    First, the general concept for the design is laid-out on a template or picture of the VEHICLE in order for the CUSTOMER to approve the placement of the graphic elements and proof all of the information in the WRAP.

                                          i.    The CUSTOMER will receive low-resolution artwork proofs of the WRAP’S general graphic design via email.

                                         ii.    The CUSTOMER must approve the WRAP’S general graphic design via email reply

iii.    The WRAP’S general graphic design will be immediately sent to be pieced-out for print upon receipt of CUSTOMER’S approval. Any artwork changes requested by the CUSTOMER after approval is received will be subject to a minimum artwork charge of $65.00 or $45.00 per hour (whichever is greater).

b.    Second, the approved WRAP general graphic design is then pieced-out into panels according to size of the material and the needs of the physical WRAP installation.

2.       Artwork for the WRAP supplied by the CUSTOMER is subject to artwork charges (since the general design will need to be pieced-out by the INSTALLER) at a rate of $45.00 per hour.

3.       The INSTALLER is not responsible for WRAP artwork supplied by the CUSTOMER. If CUSTOMER supplied artwork does not import into the INSTALLER’S computer software and does not appear on the computer monitor, print on a proof, or if the finished WRAP does not look as the CUSTOMER states it should, the INSTALLER is not responsible for any artwork time to correct the artwork and is not liable to re-print the WRAP at any discounted price to the CUSTOMER.

4.       If the CUSTOMER supplied artwork for the WRAP is not print-ready, any graphic design performed by the INSTALLER to make the artwork printable is subject to artwork charges at a rate of $45.00 per hour. Please see “Schedule B” (attached) for print-ready artwork specifications.

a.    The CUSTOMER will be notified immediately by the INSTALLER if the CUSTOMER supplied artwork is not print-ready

5.       The colors in the WRAP’S artwork will vary between computer monitors, digital color prints/proofs on paper and, prints/proofs printed by large format machines onto vinyl and also the finished WRAP. If the CUSTOMER requires specific colors in the finished WRAP, they may opt for color matching, which is provided by the INSTALLER at an additional charge. This is an industry accepted standard.

a.    Shades of blue within the WRAP’S artwork may print out more purple than they appear on computer monitors, digital color prints/proofs on paper and, prints/proofs printed by large format machines onto vinyl.

b.    Any re-printed parts of the WRAP will not perfectly match the colors of the original WRAP. Many conditions affect the colors of the finished WRAP (i.e. the condition of the large format printer, the inks used, time the WRAP sits before it’s laminated, weathering on the original WRAP, etc.) and this is an industry accepted standard.

6.       If the CUSTOMER requires specific colors to appear in the finished WRAP, the INSTALLER will provide PMS Color Matching at an additional charge of $120.00 per PMS color, up to four (4) colors.

a.    The CUSTOMER must understand that the INSTALLER will match colors in the WRAP artwork to the specified PMS Color(s) as close as possible, however, an exact match is unlikely.

b.    If the INSTALLER has completed the PMS Color Matching and the CUSTOMER is not satisfied and would like to change the PMS Color, any new PMS Color Matching is subject to a charge of $120.00 per PMS Color.

c.     The INSTALLER will provide a printed sample of the PMS Color Matched material for each PMS Color for the CUSTOMER to proof. The CUSTOMER must approve the PMS Color Matched material proof by signing the material.

 

7.       While it is the INSTALLER’S goal to WRAP the VEHICLE so that it matches the approved design, placement of the finished WRAP may differ from that shown in the approved design. This is an industry accepted standard and the INSTALLER is not responsible to remove, redo/replace any parts of the WRAP for this reason.

a.    Door handles, hinges and body seams are anticipated in the design but may obstruct part of the graphics on the finished WRAP

b.    The WRAP design on the rear of the VEHICLE may not match-up exactly with the WRAP design on the sides of the VEHICLE.
